i replaced the rubber only. i have replaced on other boats and all you have to do is grout the existing holes with epoxy and install new one according to the new pattern.
the rub rail was easy and i got it from catalina yachts.
all i did was let it lay in the suna nd get soft then my wife guided in the top flange into the metal i concaved the rub rail and started it into the bottom flange using a screww driver as a feeder to shove the rubber in the track

I would have one recommendation; before you pull the old rail off, get a pencil and walk down the side of your boat drawing a line to mark where the old rail was. Assuming the old rail was properly installed, this should make it easier to line up the new rail so it is properly spaced below the deck.
Cost me $500 to have the rubrail replaced on my C-22 this past spring. I didn't want to tackle it myself. The replacement is a diferent style,; looks like all rubber and looks better to boot. There are lots of screws holding that rubrail on, each one a leak source. good chance you might ruin/lose a few of them. Be a good idea to have a few extra on hand, as well as a good supply of caulk.
